Welcome to GreenDimes! As we (GreenDimes, Inc.) aim to help our customer community reduce the impact of unwanted junk mail on their lives and the environment, we are pleased to provide the website at www.greendimes.com (the 'Site') and the various services available through this Site (the 'Services'). Please read the following important terms and conditions ('Terms of Use') carefully. These Terms of Use govern your access to and use of the Site and Services, including but not limited to any content, information, or products made available here. This is a legal agreement between you and GreenDimes.
Modifications and Acceptance of Terms
We may update or otherwise modify these Terms of Use from time to time, and each time you use the Site or Services, your use will constitute your acceptance of the Terms of Use as then in effect. Please check this page frequently to stay informed of any changes. These Terms of Use were last updated on the date indicated above.
Description of Services and Site
The Services and Site are primarily related to junk mail control, environmental resource conservation, and associated issues and interests. The Services and Site may include any number of features and offerings such as conservation tips, informational resources, discussion forums, and online petitions on topics of interest to our customer community. We may also offer Services related to the promotion of our junk mail-reduction products and services, such as incentive programs for referring other customers to us. We may change, add, or discontinue any or all Services or features of the Site at any time without notice or liability. Particular Services may be subject to specific terms and conditions in addition to these Terms of Use, as indicated on the Site in conjunction with those Services. For example, our current referral incentive program is subject to our additional Referral Reward Terms.
Permitted Use
You may access the Services and Site (subject to these Terms of Use and any applicable Service-specific terms) solely for your personal, non-commercial use.
GreenDimes' Ownership
You acknowledge and agree that GreenDimes owns or licenses all right, title, and interest (including all intellectual property rights) in and to the Site and Services, including but not limited to all information, content, materials, products, services, URLs, other software, technology, editorial or user guidelines, and documentation therein, and all derivative works or enhancements thereof. You will not acquire any right, title or interest to any content provided by GreenDimes, except for the limited use rights expressly set forth in these Terms of Use. Any rights not expressly granted herein are withheld.
User Submissions
You represent and warrant that you own any content or information that you submit using the Site or Services (including but not limited to the content of any testimonials or discussion postings), and you assume responsibility for any such content or other information. Subject to the terms of our then-current Privacy Policy you authorize us to reproduce, modify, distribute, display, and otherwise use any such content or information as we see fit in connection with the Site or Services. We are not obligated to screen content submitted by the users of our Site or Services, and we are not responsible to you for any harm caused by that content, by your reliance on that content, or by any errors or inaccuracies in that content.
User Accounts
Certain Services or portions of the Site may be accessed only if you establish a user account. You must provide complete, accurate, and truthful information when registering for your account, and you must keep that information up to date. You are responsible for safeguarding the password that you use to access your account or any secure areas of the Site. You agree not to disclose your password to any third party. You agree to take sole responsibility for any activities or actions under your password, whether or not you have authorized such activities or actions. You will immediately notify us of any unauthorized use of your password.
Prohibited Uses
The Site and Services may be used and accessed for lawful purposes only. You agree to abide by all applicable local, state, national and foreign laws, treatises and regulations in connection with your use of the Site and Services. In addition, and without limitation, you agree that:
(a) You will not use the Site or Services for any purpose that is fraudulent, unlawful, or contrary to these Terms of Use or the policies of GreenDimes, and you will cooperate fully with GreenDimes to investigate any suspected unlawful, fraudulent or improper activity.
(b) You will not use the Site or Services to upload, post, e-mail, otherwise transmit, or post links to: (i) any unsolicited or unauthorized advertising or promotional materials; or (ii) content which is harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, libelous, invasive of privacy or publicity rights, hateful, or racially, sexually, ethnically or otherwise objectionable.
(c) You will not intentionally distribute viruses, worms, defects, Trojan horses, corrupted files, hoaxes, or any other items of a destructive or deceptive nature using the Site or Services.
(d) You will not impersonate another person (via the use of an email address or otherwise) or otherwise misrepresent yourself.
(e) You are solely responsible for all equipment necessary to access and use the Site and Services.
(f) You will not attempt to gain unauthorized access to any account information, computer systems or networks associated with the Site and Services.
(g) You will not attempt to obtain any information or materials relating to the Site and Services through any means not intentionally made available through the Site.
(h) You will not 'frame,' 'mirror' or otherwise copy, redistribute, or recast any portion of the Site without GreenDimes' express written authorization.
(i) You will not encourage or instruct any other person to do any of the foregoing or to violate any term of these Terms of Use.
Third-Party Offerings
The Site and Services may contain information, products, and services provided by third parties and links (including advertisements) to web sites made available by third parties ('Third-Party Offerings'). This information and these products, services, and links are provided only as a convenience to users of the Site. GreenDimes does not control these Third-Party Offerings and does not make any representations or warranties, express or implied, regarding these Third-Party Offerings. Inclusion of any of the Third-Party Offerings in the Site or Services does not constitute or imply an endorsement, authorization, sponsorship, or affiliation by or with GreenDimes with respect to any third party or its Third-Party Offerings and you access and use such Third Party Offerings at your own risk.
Termination
You may terminate your account with us at any time and for any reason by sending an email to customerservice@greendimes.com. We may immediately terminate or suspend your account and/or access to the Site and Services in the event that you breach these Terms of Use. Upon any termination, your account will no longer be accessible. Notwithstanding the foregoing, we also reserve the right to terminate the Site, Services or your access thereto at any time and for any reason. After such a termination, you understand and acknowledge that we will have no further obligation to provide the Services. Upon termination, all licenses and other rights granted to you by these Terms of Use will immediately cease. Any suspension or termination will not affect your obligations or our rights under these Terms of Use that, by their sense and context, are intended to survive such suspension or termination (including but not limited to the provisions related to intellectual property ownership, indemnification, and limitations of liability).
Disclaimers
YOU EXPRESSLY AGREE THAT YOUR USE OF OR INTERACTION WITH THE SITE AND SERVICES, AND ANY CONTENT, INFORMATION, OR OTHER MATERIAL AVAILABLE FROM OR THROUGH THE SITE, IS AT YOUR OWN RISK AND AT YOUR OWN DISCRETION. EXCEPT WHERE EXPRESSLY PROVIDED OTHERWISE, THE SITE AND SERVICES, AND ANY CONTENT, INFORMATION, AND OTHER MATERIAL AVAILABLE FROM OR THROUGH THE SITE AND YOUR USE THEREOF, ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS.
GREENDIMES AND THE GREENDIMES ENTITIES (DEFINED BELOW) EXPRESSLY DISCLAIM ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, COURSE OF DEALING OR COURSE OF PERFORMANCE, RELATED TO THE SITE, SERVICES, SITE CONTENT OR THESE TERMS OF USE. GREENDIMES MAKES NO WARRANTY THAT: (A) THE SITE, SERVICES, OR SITE CONTENT WILL MEET YOUR REQUIREMENTS; OR (B) THE SITE, SERVICES OR SITE CONTENT WILL OPERATE OR WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE BASIS.
YOU ACKNOWLEDGE THAT GREENDIMES CANNOT FORCE - AND WILL NOT TAKE ANY LEGAL ACTION TO FORCE - DIRECT MAILERS TO REMOVE YOU FROM THEIR MARKETING OR MAILING LISTS OR TO CEASE SENDING YOU UNWANTED MAIL OR OTHER COMMUNICATIONS. GREENDIMES DOES NOT WARRANT THAT ANY SUCH REMOVAL OR CESSATION WILL BE ACHIEVED USING GREENDIMES' PRODUCTS OR SERVICES.
Limitation of Liability
UNDER NO CIRCUMSTANCES WILL GREENDIMES, ITS LICENSORS, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE EMPLOYEES OR AGENTS BE LIABLE TO YOU OR TO ANY OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA OR USE OR FOR THE COST OF PROCURING SUBSTITUTE PRODUCTS AND SERVICES, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER BASED ON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE, OR YOUR ACCESS TO OR USE OF THE SITE OR SERVICES, OR ANY INFORMATION OR OTHER MATERIAL AVAILABLE FROM OR THROUGH THE SITE, INCLUDING AS APPLICABLE ANY DAMAGES RESULTING FROM THE INTERRUPTION, SUSPENSION OR TERMINATION OF THE SITE OR SERVICES IN ANY MANNER WHATSOEVER, WHETHER THE DAMAGES ARE FORESEEABLE AND WHETHER OR NOT GREENDIMES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, GREENDIMES' AGGREGATE LIABILITY TO YOU ARISING WITH RESPECT TO THESE TERMS OF USE AND YOUR ACCESS TO AND USE OF THE SITE AND SERVICES WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). YOU ACKNOWLEDGE THAT GREENDIMES HAS SET ITS PRICES AND ENTERED INTO THIS AGREEMENT IN RELIANCE UPON THE LIMITATIONS OF LIABILITY SPECIFIED HEREIN, WHICH ALLOCATE THE RISK BETWEEN THE PARTIES AND FORM A BASIS OF THE BARGAIN BETWEEN THE PARTIES.
Indemnity
You agree to indemnify, defend and hold GreenDimes and its officers, directors, employees, successors, agents, affiliates, distribution partners or third-party service providers (collectively, the 'GreenDimes Entities') harmless from and against any claims, liabilities, losses, damages or expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with: (a) your conduct, including your access to or use of the Site or Services; (b) any actual or alleged violation or breach of these Terms of Use or any GreenDimes policies; (c) any breach of any representation or warranty you made hereunder; (d) your violation of rights of privacy, publicity, confidentiality or property; or (e) your actual or alleged violation of any applicable law or regulation. You agree that you are solely responsible for defending any such claim as set forth above, and for payment of losses or damages suffered by, or awarded to, and costs and expenses incurred by, third parties and the GreenDimes Entities resulting from the foregoing. You agree that you will not enter into any proposed settlement or resolution of any claim (whether having been finally adjudicated or otherwise) brought against you or GreenDimes, if such settlement or resolution results in any obligation or liability for GreenDimes. You agree that GreenDimes will have the right, in its sole discretion, to select its own legal counsel to defend GreenDimes from any such claim (but by doing so will not excuse your indemnity obligations) and that you will be solely responsible for the payment of all GreenDimes' reasonable attorneys' fees incurred in connection therewith. You agree to notify GreenDimes immediately if you become aware of any actual or potential claims, suits, actions, allegations or charges that could affect either party's ability to fully perform its duties or to exercise its rights under these Terms of Use.
Assignment
These Terms of Use will inure to the benefit of GreenDimes and its successors and assigns. GreenDimes may freely assign these Terms of Use or any rights hereunder to any third party.
Relationship of the Parties
For purposes of these Terms of Use, you are not an employee or agent of GreenDimes, and you will not make any representation to the contrary.
Severability and Waiver
In the event that any provision in these Terms of Use is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of GreenDimes to enforce any right or provision of these Terms of Use will not be deemed a waiver of such right or provision.
Force Majeure
GreenDimes will not be liable hereunder by reason of any failure or delay in the performance of its obligations hereunder on account of events beyond its reasonable control, which may include, without limitation, denial-of-service attacks, strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, terrorism, governmental action, labor conditions, earthquakes, material shortages, extraordinary Internet congestion or extraordinary connectivity issues experienced by major telecommunications providers and unrelated to GreenDimes' infrastructure or connectivity to the Internet, or failure at GreenDimes' co-location facility, (each a 'Force Majeure Event'). Upon the occurrence of a Force Majeure Event, GreenDimes will be excused from any further performance of its obligations effected by the Force Majeure Event for so long as the event continues.
Governing Law
The Terms of Use and the relationship between you and GreenDimes will be governed by the laws of the State of California without regard to its conflict of law provisions. You and GreenDimes agree to submit to the personal and exclusive jurisdiction of the courts located in San Francisco County, California.
Entire Agreement
These Terms of Use, as supplemented by the specific additional policies and terms of GreenDimes referenced herein, are the entire and exclusive agreement between GreenDimes and you regarding the Site and Services, and supersede and replace any prior agreements between GreenDimes and you regarding the Site and Services.
Notice
Any notice or other communication to be given hereunder will be in writing and given (a) by GreenDimes via email (in each case to the address that you provide), (b) a posting by GreenDimes on the Site, or (c) by you via email to customerservice@greendimes.com or to such other addresses as GreenDimes may specify in writing. The date of receipt will be deemed the date on which such notice is transmitted.

By placing an order with GreenDimes, you agree to the following terms of sale.
The following terms and conditions (the 'Terms of Sale') are a contract between you and GreenDimes, Inc. ('GreenDimes'). By submitting an order for any product (which includes any gift coupon) or service with GreenDimes, or by accepting delivery of products shipped by GreenDimes, you accept and agree to be bound by these Terms of Sale. These Terms of Sale are subject to change at any time without notice, at GreenDimes' sole discretion, and you will be bound by the Terms of Sale in effect at the time of your purchase. Certain products may also be subject to product-specific licensing or other terms established by GreenDimes (if expressly indicated by GreenDimes at the time of your order). For example, gift coupons are also subject to GreenDimes' Gift Coupon Terms .These Terms of Sale, as supplemented by GreenDimes' product-specific terms where applicable, shall supersede any other terms that might otherwise apply to your order. The failure of GreenDimes to enforce these Terms of Sale, for whatever reason, shall not be construed as a waiver of any right to do so at any time.
Acceptance of Orders; Delivery
GreenDimes reserves the right at any time after receiving your order to accept or decline your order for any reason. Your receipt of an electronic order confirmation does not signify our acceptance of your order. Delivery of products or services ordered shall operate as GreenDimes' acceptance of your order with respect to those products or services actually delivered. Delivery will be made in the manner indicated at the time of order, and may include email delivery (for example, in the case of gift coupon purchases). If no delivery method is specified, GreenDimes will select an appropriate method in its discretion. GreenDimes is not responsible for any errors in the ship-to or email address(es) you provide, or for any failed delivery of properly dispatched shipments or email transmissions.
Payment Terms
GreenDimes accepts the credit cards and/or other payment methods indicated on its ordering pages. You authorize GreenDimes to charge your specified credit card or other payment account for all amounts due on your order. All payments must be in US Dollars, and must be received by GreenDimes prior to fulfillment of any order. Current billing address must be included with every order.
Shipping and Taxes
Unless otherwise indicated, product and service pricing quoted on GreenDimes' website does not include applicable taxes or shipping charges. Sales tax (if applicable to the items being purchased) will be charged on all orders shipped to California. Separate charges for shipping and tax will appear on your order at time of checkout.
Title
Title to products, and risk of loss, passes from GreenDimes to you upon shipment from GreenDimes. Title to any licensed materials will remain with GreenDimes or its applicable licensor(s), if any.
GreenDimes Dealings on Your Behalf
In some instances, GreenDimes may include in its junk mail-reduction products or services an option for GreenDimes to deal directly with certain direct mailers or similar third parties on your behalf (for example, where GreenDimes' existing relationships let it efficiently submit requests for you to continue or stop receiving certain catalogs). You may be required to establish a user account on the GreenDimes website in order to use this option. By electing to receive this assistance, you hereby retain, engage, and appoint GreenDimes and its affiliates as your express agent and authorized representative:
(a) to contact and instruct such third parties to remove your designated address from such third parties' marketing or mailing lists and to cease sending you mail (other than as necessary to complete later commercial transactions that you initiate);
(b) to contact and instruct such third parties to cease selling, distributing, disclosing and storing your personally identifiable information;
(c) to put a promotional block on your credit reports to prevent financial institutions from sending you direct mail; and/or
(d) to transmit information or data files to such third parties for the purposes of (a), (b) and (c).
Other Third-Party Issues
You acknowledge that minimizing unwanted direct mail may require you to make periodic requests to the same direct mailers or other third parties, and that GreenDimes cannot control the third parties' requirements, the timeliness of their actions, or the extent to which they fulfill your requests. Without limiting the foregoing, you acknowledge that direct mailers may re-commence sending materials to you if you request those materials or if you do business with the direct mailers (or a related company) after having your address removed from their lists.
Proper Use of Products and Services
You agree to use GreenDimes' products and services solely in accordance with applicable law and solely for their intended purpose in accordance with the applicable instructions or other documentation provided by GreenDimes. Without limiting the foregoing, you particularly agree that you will not use our junk mail-reduction products or services to interfere with or otherwise affect the delivery of mail to any person who has not authorized you expressly to do so on their behalf. You agree to indemnify GreenDimes and hold it harmless from and against any claims, liabilities, costs, and/or other harm arising out of any violation of your obligations or agreements set forth in this paragraph.
Warranty Disclaimer
GreenDimes uses reasonable efforts to provide accurate descriptions of its products and services on the GreenDimes website, but those descriptions are not warranties.
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, GREENDIMES SELLS ALL PRODUCTS AND SERVICES ON AN 'AS IS' BASIS (WITHOUT WARRANTY), AND HEREBY DISCLAIMS ANY AND ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD-PARTY RIGHTS AND ANY WARRANTIES ALLEGED TO ARISE FROM COURSE OF DEALING OR USAGE OF TRADE.
Some jurisdictions do not allow the disclaimer of certain implied warranties, so some of the foregoing disclaimer may not apply to you.
No Returns
To the fullest extent permissible under applicable law, all sales are final and GreenDimes has no obligation to accept returns or issue refunds for any reason.
Limitation of Liability
YOU ACKNOWLEDGE AND AGREE THAT IN NO EVENT SHALL GREENDIMES' LIABILITY TO YOU, WITH RESPECT TO ANY PRODUCT OR SERVICE, EXCEED THE PRICE OF THE PRODUCT OR SERVICE ORDERED. IN NO EVENT SHALL GREENDIMES OR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR REPRESENTATIVES BE LIABLE FOR SPECIAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES RELATED TO PRODUCTS OR SERVICES SOLD. GREENDIMES DOES NOT ACCEPT LIABILITY BEYOND THE REMEDIES SET FORTH HEREIN.
YOU ACKNOWLEDGE AND AGREE THAT THE DELIVERY OF PRODUCTS AND SERVICES ORDERED CANNOT BE GUARANTEED AND THAT, EXCEPT AS EXPRESSLY PROVIDED BY APPLICABLE LAW, GREENDIMES WILL HAVE NO LIABILITY FOR OR IN CONNECTION WITH ORDERS THAT ARE DELAYED OR REJECTED.
Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so some of the foregoing limitations may not apply to you.
Applicable Laws; Not for Resale
You agree to comply with all applicable laws and regulations of the various states and of the United States. Unless otherwise expressly stated by GreenDimes, all products and services are for delivery only to recipients within the United States. You agree and represent that you are buying for your own personal or internal business use only, and not for resale.
Governing Law
The sale(s) will be governed by the laws of the state of California, as such laws apply to contracts made and performed in California between California residents. Venue and jurisdiction for all disputes will lie in San Francisco County, California.
